- Advise a Hong Kong-based investment fund in $135 million convertible note investments in Faraday Future Intelligent Electric Inc.
- Represented Steel Partners Holdings L.P. and its subsidiaries in connection with a five-year, $600 million revolving credit agreement with a syndicate of financial institutions headed by PNC Capital Markets LLC.
- Represented ModusLink Global Solutions, Inc. in connection with the financing for its $476 million acquisition of IWCO Direct, a leading provider of data-driven market solutions. The financing included a $393 million term loan facility and a $25 million revolving credit facility with Cerberus Business Finance, LLC.
- Represented Aerojet Rocketdyne Holdings, Inc., a leading manufacturer of aerospace and defense products, in a refinancing to provide greater financial flexibility to execute its long-term strategic agenda and substantially reduce its interest expense. The amended and restated credit facility replaced Aerojet’s existing revolving credit facility, in an aggregate principal amount of up to $350 million (with a $100 million subfacility for standby letters of credit and a $10 million subfacility for swingline loans) and provided for a delayed draw term loan facility in an aggregate principal amount of up to $400 million.
- Advised an operator of boutique veterinary hospitals in its execution of a $50 million line of credit facility in connection with a reorganization of the company’s business structure involving the consolidation of 15+ veterinary practices.
- Represented a Nasdaq-listed company in multiple debt offerings ranging from $150 million to $300 million.
- Represented ATW Partners in connection with a $36 million secured convertible loan investment in Nauticus Robotics, Inc. (Nasdaq: KITT), a developer of ocean robots, autonomy software, and services to the marine industries. The investment was consummated by ATW Partners and other investors in connection with the company’s de-SPAC merger combination with CleanTech Acquisition Corp., a special-purpose acquisition company.
- Advising a leading independent investment bank as exclusive financial adviser and placement agent for a number of corporate debt financings.
