Freedman Quoted in The Deal on Recent SEC Inquiries Regarding 13D Groups
Olshan Activist Practice Partner Andrew Freedman was quoted by The Deal in a story on the recently reported inquiries by the SEC into group disclosures on Schedule 13D. Freedman thinks that the SEC's inquiries will produce little in the way of improper “group” activity among investors. "[SEC inquiries] will put funds and institutions on alert in terms of how they conduct their discussions," Freedman said. "But I don't see this leading to a wide-scale agenda at the SEC to prosecute undisclosed group activity." He adds that well-known established activists, including JANA Partners, Olshan client Starboard Value, Trian and Value Act, are too careful and well-advised to have these types of missteps.
