Kearns to Speak at the New York State Society of CPAs

On May 7, 2014, Olshan Real Estate Partner Thomas Kearns will present the program “Practical and Legal Issues in LLC Agreements for Real Estate Transactions” at the New York State Society of CPAs (NYSSCPA). The program will identify several areas where CPAs and other real estate professionals can help their clients in reviewing LLC agreements for commercial real estate interests. Specifics discussed will include buy/sell provisions, capital calls, projections, transfer of interests, allocations, tax draws, phantom income and profit interests. Registration is open to NYSSCPA members and non-members, and CPE credit will be offered.
