Olshan Names New Partners to its Corporate and Litigation Groups
NEW YORK, NY January 5, 2009 – Olshan Grundman Frome Rosenzweig & Wolosky LLP today announced that Yehuda Markovits and Lori Marks-Esterman have been named partners to the Corporate and Litigation practices, respectively, of the 70-attorney midtown Manhattan firm.
Markovits, 34, focuses his practice on corporate finance, mergers and acquisitions, securities law matters and general corporate representation. Among his representations, Markovits has counseled both issuers and underwriters/placement agents in a wide variety of U.S. and international public offerings and private placements of debt and equity securities, as well as tender offers and exchange offers. He also has experience representing private equity firms and private companies in convertible securities financings and other venture capital transactions, as well as structuring and negotiating complex shareholder, limited liability company and partnership agreements. Markovits’ practice includes representing public and private companies in various secured and unsecured financings and representing buyers and sellers, both public and private, in mergers and asset/stock sale transactions. His practice also includes assisting foreign and domestic public companies in the preparation and filing of ’34 Act reports and counseling them on a day-to-day basis in general corporate, corporate governance and securities law matters. Prior to joining the firm, Markovits was an associate at Skadden, Arps, Slate, Meagher & Flom LLP from September 1998 to August 2006.
Marks-Esterman, 35, represents publicly-held and private companies and individuals in a wide variety of commercial litigation matters in State and Federal Court, including disputes relating to real estate transactions, securities laws and corporate dissolutions. She also has significant experience representing clients in contract disputes and employment related claims, including restrictive covenants, tortious interference with business, breach of fiduciary duty and unfair competition. Marks-Esterman started her career at one of New York’s top boutique law firms, focusing on construction and real estate, and has substantial experience in commercial lease disputes and construction related issues.
Among Marks-Esterman’s notable representations are winning a favorable settlement payment for a minority owner of an apparel company in a multi-million dollar buy-out, representing lessors, sponsors and developers in complex real estate cases, and successfully defending an executive against RICO and fraud claims. Marks-Esterman is a member of the Olshan Real Estate work-out team.
