Andrew Freedman Interviewed on Bloomberg TV Regarding Elon Musk’s Potential Twitter Takeover
Olshan Partner and Co-Chair of the firm’s Shareholder Activism practice Andrew Freedman spoke with Bloomberg Technology anchor Emily Chang on BloombergTV regarding Elon Musk’s options for pursuing his hostile bid for Twitter and how he can give Twitter shareholders a voice at next month's Annual Meeting. When discussing Musk’s strategy, Andy suggests that Musk launch a tender offer to acquire the shares in the company he doesn’t already own despite the poison pill, noting “a one-two punch strategy.” Andy went on to note that it is too late for Musk to nominate candidates for Twitter’s Board this year, but what he can do is, “run a full-blown proxy fight seeking to ensure that those two directors [up for reelection] do not get a majority of the votes cast at their annual meeting. Importantly, what it does is it gives him a platform for a shareholder referendum on his offer.” When asked about Musk’s chances for success, Andy concluded with, “If he keeps the pressure on, takes the gloves off, puts out his formal tender offer which he can’t close, I give him a fighting chance.” View Andy’s interview in its entirety here.
