Wolosky Represents Ramius in Two Election Contests

Olshan represented Ramius Capital Group in two recent election contests involving A. Schulman, Inc., a leading international supplier of high-performance plastic compounds and resins, and Datascope Corporation, a medical device company that develops, manufactures and markets proprietary products for clinical health care markets. We provided end-to-end strategic advice throughout the various stages of the election contests, including preparation of the nomination letters and an array of SEC filings relating to the proxy solicitations, assistance with the PR and letter-writing campaigns and strategic guidance in garnering the support of independent proxy advisory firms, such as ISS Governance Services and Glass-Lewis. Both of Ramius Capital Group's nominees, Michael Caporale, Jr. and Lee Meyer, were elected by the shareholders of Schulman to serve on its Board of Directors at its 2007 Annual Meeting. Ramius Capital Group was successful in obtaining board representation for one of its nominees, Dr. David Dantzker, at Datascope Corporation's 2007 Annual Meeting. Steve Wolosky, Andrew M.
