Irenic Capital Management Reaches Agreement with Barnes Group Inc. for Board Representation
The Financial Times, Investing.com and TipRanks reported on Olshan client Irenic Capital Management LP’s cooperation agreement with Barnes Group Inc. (NYSE: B), a global provider of highly engineered products, differentiated industrial technologies and innovative solutions, pursuant to which the company’s board of directors appointed Adam Katz, co-founder and Chief Investment Officer of Irenic Capital Management, to serve on the board effective immediately. The company also engaged Larry Lawson, former CEO of Spirit AeroSystems Holdings, Inc., to serve as a Special Advisor to the board and Barnes’s senior management team. Additionally, Barnes will work with Irenic to identify another mutually agreed upon independent director to appoint to the board. Olshan Co-Managing Partner and Chair of the firm’s Shareholder Activism Practice Andrew Freedman led the team that represented Irenic Capital Management, which included counsel Dorothy Sluszka and associate Nikoleta Holevas.
