Olshan corporate partners Kenneth Silverman and Honghui Yu authored an article in Bloomberg entitled “Companies With Dual-Class Equity Face Governance Challenges.” In the article, Ken and Honghui address special considerations for potential acquirers of companies with dual-class equity structures, amidst what has been forecasted to be a busy year for M&A activity. “Public companies with dual-class structures aren’t the majority, nor are they outliers,” Ken and Honghui explain. “Careful consideration of the special characteristics of a dual-class structure, the consideration that may be offered, and how a transaction is negotiated is recommended for a suitor to be in the best position to reel in a target successfully.”
