Versatile and skilled in all aspects of transactional tax matters affecting U.S. and global clients, Kuang-Chu (K.C.) Chiang advises clients on capital markets transactions, acquisitions, dispositions, mergers, and other corporate or partnerships and reorganizations, as well as structures onshore and offshore private equity, real estate, and hedge funds.
Business entities and fund sponsors and business entities in wide-ranging industries throughout the U.S. and around the world rely on K.C. for astute counsel on U.S. and cross-border tax issues in connection with their business transactions. He deals extensively with partnerships, LLCs and other joint ventures, corporate mergers, spinoffs, fund formations, restructurings and reorganizations. He also provides tax guidance on controlled foreign corporations (CFCs) and passive foreign investment companies (PFICs), financial instruments, leveraged buyouts and other acquisition financings, tax treaties, hybrid entities, and conduit financings, and financial products and securitizations.

- Represented a privately owned technology solutions company in connection with the sale of substantially all of its assets, successfully assisting the client with identifying and negotiating deal terms to avoid in materially adverse tax consequences.
- Advised a publicly traded leading company in electric vehicle charging equipment business on its acquisition of a manufacturer and developer of electric vehicle charging infrastructure solutions in a tax-efficient structure that involved numerous tax issues.
- Represented a leading life sciences consultancy firm regarding tax-efficient planning and structuring strategies in connection with growth investment from a healthcare sector focused private equity firm.
- Advised an investment firm specializing in the financial and business technology sector in its investment in a leading provider of credit restoration and counseling services in a structure aimed to provide the client with favorable tax efficiency.
- Advised a privately owned U.S.-headquartered multinational nutrient supplement company, successfully identifying and implementing a tax-efficient corporate structure, and subsequently represented the group in the sale of its multijurisdiction business to a Japanese global pharmaceutical company.
- Represented a multinational commodity trading company in its $6 billion acquisition of a Canadian business in a cross-border tax-efficient transaction.
- Represented one of the two groups of Class A shareholders of a family-owned supermarket company in their sale of the majority stake to the Class B shareholders for more than $1.5 billion.
- Represented a popular chain restaurant business in receiving investments from a private equity consortium.
- Represented a publicly traded Australian company in its acquisition of a U.S. biotech company.
- Represented a media business company in connection with the sale of a division to a subsidiary of an independent, nongovernmental organization based in Washington D.C.
- Represented a premier global specialty transportation and logistics provider for the biopharmaceutical industry in its sale to one of the world’s largest pharmaceutical services companies for $520 million.
- Advised private equity funds, hedge funds, real estate funds, debt funds, and funds of funds in and outside the U.S. regarding the formation of pass-through and blocker structures, as well as cross-border tax considerations.
- Advised foreign financial institutions, sovereign wealth funds, and other investment funds on acquiring interests in private equity funds, hedge funds, and real estate funds, as well as restructuring special investment vehicles.
